AdBuilder Terms & Conditions

1. About Us​​

Welcome to AdBuilder.

AdBuilder is an AI-powered recruitment marketing and hiring support platform developed and operated by Adhook.

The platform is designed to assist employers, HR professionals, recruiters, talent acquisition teams and hiring managers in creating and managing recruitment-related content, including:

  • Job adverts

  • Job descriptions

  • Job specifications

  • Screening questions

  • Recruitment content

  • Hiring documentation

AdBuilder may also provide additional recruitment workflow functionality, integrations and services from time to time.

By accessing or using AdBuilder, you agree to be bound by these Terms & Conditions.

2. Eligibility

You must:

  • Be at least 18 years of age.

  • Be authorised to act on behalf of your organisation where applicable.

  • Use AdBuilder only for lawful business purposes.

You are responsible for ensuring that all information submitted to AdBuilder is accurate, lawful and up to date.

3. Licence to Use AdBuilder

Subject to these Terms, AdBuilder grants you a limited, non-exclusive, non-transferable and revocable licence to access and use the platform.

You may:

  • Generate recruitment-related content.

  • Download and use generated outputs within your organisation.

  • Share generated outputs with authorised colleagues involved in recruitment activities.

You may not:

  • Resell, sublicense or redistribute the platform.

  • Reverse engineer, decompile or attempt to access source code.

  • Copy or reproduce the platform or its functionality.

  • Use AdBuilder to create a competing product or service.

  • Allow unauthorised third parties to access your account.

4. AI Generated Content

AdBuilder uses artificial intelligence technologies to assist with content generation.

While we aim to provide accurate and useful outputs, AdBuilder does not guarantee that generated content will be:

  • Accurate

  • Complete

  • Legally compliant

  • Error free

  • Free from bias

  • Suitable for a specific recruitment process or organisation

Users are solely responsible for reviewing, editing, validating and approving all content before publication or use.

​​5. Employment Law and Equality Compliance

AdBuilder is designed to support the creation of recruitment-related content, including job adverts, job descriptions, job specifications, screening questions and associated hiring documentation.

While AdBuilder incorporates recruitment best practice principles and may provide guidance relating to inclusivity, clarity and candidate attraction, AdBuilder does not provide legal advice and does not guarantee compliance with employment legislation.

Users are solely responsible for ensuring that all content generated, edited, published or distributed through the platform complies with all applicable laws and regulations, including but not limited to:

  • Equality Act 2010

  • Employment Rights Act 1996

  • Data Protection Act 2018

  • UK GDPR

  • Immigration and Right to Work legislation

  • Applicable anti-discrimination laws

  • Any other applicable local, national or international employment laws

Users must review and approve all generated content before publication or use.

AdBuilder and Adhook accept no responsibility for any claims, liabilities, losses, investigations, regulatory actions or legal proceedings arising from the use of content generated by the platform.

6. AI Recommendations Disclaimer

AdBuilder may generate suggested wording, screening questions, competencies, evaluation criteria and other recruitment-related recommendations.

Such recommendations are provided for informational purposes only and should not be relied upon as legal, HR, recruitment, immigration, equality or professional advice.

Users remain solely responsible for determining the suitability, legality and appropriateness of all recruitment processes and hiring decisions.

7. Recruitment Decisions

AdBuilder is a decision-support platform only.

AdBuilder does not:

  • Make hiring decisions

  • Recommend individual candidates

  • Conduct candidate assessments

  • Guarantee recruitment outcomes

  • Provide legal advice

All hiring decisions remain solely the responsibility of the user and their organisation.

8. Intellectual Property

All intellectual property rights relating to:

  • The AdBuilder platform

  • Software

  • Source code

  • Branding

  • Design

  • Scoring methodologies

  • Training materials

  • Workflows

  • AI prompting frameworks

  • Documentation

remain the property of Adhook and/or its licensors.

Users retain ownership of information they upload and the final recruitment content generated for their own internal business purposes.

9. User Content

You are responsible for all information submitted to AdBuilder.

You must not upload, create or distribute content that:

  • Is unlawful

  • Is discriminatory

  • Is offensive, abusive or defamatory

  • Infringes intellectual property rights

  • Contains malicious software or code

  • Violates employment or data protection laws

AdBuilder reserves the right to remove content or suspend access where misuse is identified.

10. Data Protection

We process personal data in accordance with our Privacy Policy.

Where candidate information or personal data is uploaded into AdBuilder, users remain responsible for ensuring they have an appropriate lawful basis for processing such information.

11. Integrations

AdBuilder may offer integrations with third-party systems, including:

  • Applicant Tracking Systems (ATS)

  • HR software

  • Recruitment platforms

  • CRM systems

AdBuilder is not responsible for:

  • Third-party services

  • Service interruptions

  • Data loss caused by third-party systems

  • Changes made by third-party providers

Use of third-party services remains subject to their own terms and conditions.

12. Availability

We aim to provide uninterrupted access to AdBuilder but do not guarantee continuous availability.

We may:

  • Perform maintenance

  • Implement updates

  • Modify functionality

  • Suspend services temporarily

without prior notice where reasonably necessary.

13. Limitation of Liability

To the fullest extent permitted by law, Adhook shall not be liable for:

  • Recruitment costs

  • Hiring decisions

  • Loss of profits

  • Loss of revenue

  • Loss of business opportunity

  • Loss of goodwill

  • Indirect losses

  • Consequential losses

arising from the use of AdBuilder.

Our total liability under these Terms shall not exceed the amount paid by the customer for AdBuilder during the preceding twelve months.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

14. Suspension and Termination

We may suspend or terminate access where:

  • These Terms are breached

  • Unauthorised use is detected

  • Payment obligations are not met

  • Security concerns arise

  • Illegal activity is suspected

Upon termination, all rights to access and use AdBuilder shall immediately cease.

15. Changes to These Terms

We may update these Terms from time to time.

Updated versions will be published on our website and become effective from the date displayed at the top of the document.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

18. Subscription, Fees and Payment

Access to certain features of AdBuilder may require payment of subscription fees, licence fees or service charges.

Where applicable:

  • Fees will be communicated prior to purchase.

  • Fees are exclusive of VAT unless otherwise stated.

  • Payment terms will be specified on the relevant order form, proposal or invoice.

  • Failure to make payment may result in suspension or termination of access.

Unless otherwise agreed in writing:

  • Subscription fees are non-refundable.

  • Access rights may not be transferred to another organisation.

AdBuilder reserves the right to revise pricing upon renewal or when introducing new functionality.

 

Subscription fees are charged in advance and are non-refundable except as expressly set out in the Refund Policy.

19. Confidentiality

Each party agrees to keep confidential all non-public information disclosed in connection with AdBuilder.

Confidential information includes:

  • Recruitment plans

  • Business strategies

  • Salary information

  • Candidate information

  • Commercial information

  • Proprietary methodologies

  • Technical information

This obligation shall not apply where disclosure is:

  • Required by law

  • Required by a regulatory authority

  • Made to professional advisers under confidentiality obligations

  • Authorised in writing by the other party

Confidentiality obligations survive termination of these Terms.

20. Data Protection and GDPR

Both parties shall comply with:

  • UK GDPR

  • Data Protection Act 2018

  • Applicable data protection legislation

Where personal data is processed through AdBuilder:

  • The customer remains the Data Controller.

  • AdBuilder and Adhook act as Data Processor where applicable.

  • Customers remain responsible for ensuring lawful processing of personal data.

AdBuilder will implement reasonable technical and organisational measures to protect personal information.

Where required, a separate Data Processing Agreement may be entered into between the parties.

 

21. Security

AdBuilder takes reasonable measures to maintain the security of the platform.

Users are responsible for:

  • Maintaining password confidentiality

  • Restricting access to authorised personnel

  • Promptly reporting suspected security breaches

AdBuilder reserves the right to suspend access where security concerns arise.

22. Service Improvements and Platform Development

AdBuilder is continually developed and improved.

We reserve the right to:

  • Add functionality

  • Improve AI capabilities

  • Modify workflows

  • Introduce integrations

  • Update user interfaces

  • Remove obsolete features

where reasonably necessary to improve the service.

23. Beta Features

Certain features may be designated as:

  • Beta

  • Early Access

  • Preview

  • Pilot

Such features are provided on an "as is" basis and may:

  • Contain errors

  • Change without notice

  • Be withdrawn at any time

Beta features may not be subject to the same support or availability commitments as standard platform functionality.

 

24. Acceptable Use

Users must not:

  • Use AdBuilder unlawfully.

  • Upload malicious software.

  • Attempt unauthorised access to systems or accounts.

  • Circumvent security controls.

  • Use AdBuilder to create competing software products.

  • Use automated methods to scrape platform content.

  • Misrepresent AI-generated content as legal advice.

AdBuilder reserves the right to suspend accounts where misuse occurs.

25. Intellectual Property and AI Methodology

AdBuilder incorporates proprietary methodologies, prompting frameworks, workflows, scoring systems and recruitment content-generation processes.

Nothing in these Terms transfers ownership of:

  • Platform architecture

  • Source code

  • Proprietary prompts

  • Training methodologies

  • Scoring frameworks

  • Trade marks

  • Branding

Users may use generated outputs internally but may not reproduce, commercialise or distribute AdBuilder's underlying methodologies without prior written permission.

26. Service Levels

Whilst AdBuilder aims to provide reliable service, uninterrupted availability is not guaranteed.

AdBuilder shall not be liable for interruptions arising from:

  • Internet outages

  • Cloud provider failures

  • Cybersecurity incidents

  • Third-party platform failures

  • Force majeure events

27. Force Majeure

Neither party shall be liable for any failure or delay in performance caused by circumstances beyond reasonable control, including:

  • Natural disasters

  • Fire

  • Flood

  • War

  • Terrorism

  • Industrial action

  • Government intervention

  • Utility failures

  • Internet outages

  • Cybersecurity incidents

Performance obligations shall resume as soon as reasonably practicable.

28. Entire Agreement

These Terms, together with any applicable:

  • Privacy Policy

  • Cookie Policy

  • Data Processing Agreement

  • Order Form

  • Statement of Work

constitute the entire agreement between the parties and supersede all prior discussions, negotiations and agreements relating to the use of AdBuilder.
